Terms of Service

The rules for playing on Brainys — accounts, CELL credits, IQ points, prizes and fair play.

1. Who we are and what you are agreeing to

The Brainys website, web app and mobile apps (together, the "Service") are operated by Brainys, Republic of Lithuania ("Brainys", "we", "us"). These Terms of Service ("Terms") govern your use of the Service.

By creating an account, joining a game as a guest, buying CELL credits or otherwise using the Service you agree to these Terms, our Privacy Policy and, where you redeem prizes, our Prize Rules. If you do not agree, please do not use the Service.

If you are a consumer in the European Union, nothing in these Terms limits the rights you have under mandatory consumer protection law.

2. Eligibility and accounts

You must be at least 13 years old to create an account or play. Buying CELL is restricted to players aged 18 or over (see section 4) and the Prize Shop to players aged 18 or over (see section 6); younger players can use every game mode with the CELL they earn for free.
You may hold one account. Give us accurate information, keep your password private and tell us if you think someone else is using your account.
Guests may join free rooms with a nickname only. Anything a guest does in a room is subject to these Terms.
We may suspend or close accounts that break these Terms, cheat, abuse other players or attempt to manipulate the economy. Where the law allows, we may do so without notice while an investigation is ongoing.

3. Brainys is a game of skill

Results in every Brainys game — solo rounds, rooms, tournaments and the Daily Challenge — are determined by the knowledge, speed and accuracy of the players. There are no random draws, loot boxes, spins or other chance-based mechanics anywhere in the Service, and no random element decides who receives a prize.

Brainys is entertainment. It is not gambling, not an investment and not a way to earn income.

4. CELL credits

CELL are prepaid, non-transferable platform credits. You use them inside Brainys to host rooms, pay room and tournament entry costs and, where offered, to unlock optional features. CELL can be bought in fixed packs or earned for free through platform activity.

CELL have no cash value. They cannot be withdrawn, exchanged for money or cryptocurrency, transferred to another player or sold. CELL are not electronic money and Brainys does not provide payment services.
CELL can be bought, and CELL coupons used, only by account holders aged 18 or over. We ask for your date of birth before your first purchase if we do not have it yet.
Purchases are processed by our payment partners (Apple App Store, Google Play or our web checkout provider). The price shown at checkout is the final price, including applicable VAT. We do not publish or display any conversion rate between CELL and money.
Digital delivery: CELL are credited to your account as soon as the payment is confirmed. By completing a purchase you expressly request immediate delivery and acknowledge that, once the CELL are credited, the statutory 14-day right of withdrawal for digital content no longer applies. Nothing in this clause affects your rights if the CELL are not delivered.
Responsible spending: CELL purchases are capped at €50 per rolling 24 hours per account.
No purchase necessary: every game mode can be played using CELL earned for free — the welcome grant, the daily claim, achievements, tier advancement and other free activity we offer from time to time. We may change free earning rates and pack contents; changes never affect CELL you already hold.
CELL that has been spent on a room or entry is consumed when the game is created or entered. Where a game is cancelled by us (for example a tournament that does not reach its minimum players) the entry is returned to your account.

5. IQ points

IQ points are a skill-based reward earned only by playing: correct answers, speed, placements and streaks. IQ cannot be bought, transferred, traded or converted to money.
IQ may be redeemed for items in the Prize Shop under the Prize Rules.
To keep the economy fair, IQ earned per day is capped and IQ from unusual play (for example implausibly fast answers) may be held for review before it is released. We will tell you in the app when IQ is held.
IQ points reflect gameplay achievement and are not property. We may adjust IQ that was obtained through a bug, exploit or breach of these Terms.

6. Prizes

The Prize Shop is available only to account holders who are at least 18 years old, have a verified email address and reside in a country where we offer prizes (currently the European Union). We ask for your date of birth before your first redemption and may ask for proof of age or identity for higher-value items.
Prizes are funded by Brainys and selected from a catalogue published in advance. Prize values are never derived from entry costs paid by players, and tournament prize pools are announced before registration opens.
Prizes are rewards for achievement, subject to availability, and have no cash alternative. Full conditions — delivery, verification, cancellation and taxes — are in the Prize Rules, which form part of these Terms.

7. Fair play and prohibited conduct

You agree not to:

use bots, scripts, multiple accounts, answer-sharing or any other method to gain an unfair advantage or to farm CELL or IQ;
exploit bugs — please report them to us instead;
harass, threaten or discriminate against other players, or choose offensive nicknames or content;
upload questions or media you do not have the right to use, or that are unlawful, defamatory or obscene;
interfere with the Service, our servers or other players' connections.

Practice bots: to keep public rooms playable at quiet times, some rooms may be filled with clearly system-operated practice players. Practice players are not real people, do not hold prizes and are not eligible for the Prize Shop; the IQ and placements you earn against them count in the same way as against human players.

We monitor gameplay for integrity and may void results, remove content, hold or remove IQ and suspend accounts where these rules are broken.

8. Your content

You keep ownership of questions, media and other content you create on Brainys. You grant us a worldwide, royalty-free licence to host, display, reproduce and adapt that content so we can run the Service, including showing your questions to players in the rooms you create and, where you publish content to a shared library, to other hosts.
You are responsible for your content and confirm you have the rights to it. We may remove content that breaks these Terms or the law, and we respond to valid copyright notices sent to our contact address.
Your display name and avatar are shown to other players in rooms, leaderboards and friend lists.

9. Responsible play

Spending cap: CELL purchases are limited to €50 per rolling 24 hours.
Brainys is entertainment, not an income source. If play stops being fun, stop — or contact us and we will help you close your account.

10. Closing your account and your data

You can request deletion of your account at any time from Profile → Account. A 30-day cooling-off period follows: the account is frozen, and signing in and choosing "Keep my account" cancels the request. When the period ends the deletion is executed and cannot be undone.
On deletion your personal details are removed or anonymised as described in the Privacy Policy. Any remaining CELL and IQ are forfeited and pending prize redemptions are cancelled — use or redeem them before the period ends.
You can download a copy of your data from the same screen before you request deletion.

11. Availability and changes

We aim to keep Brainys available at all times but do not guarantee uninterrupted service. We may change, suspend or withdraw features, game modes, prizes and pack contents.
We may update these Terms. If a change is material we will notify you in the app or by email at least 14 days before it takes effect; continued use after that date means you accept the new Terms. If you do not agree you may close your account.

12. Liability

The Service is provided "as is". To the extent permitted by law we exclude all warranties and are not liable for indirect or consequential loss, or for loss of CELL, IQ or game results caused by events outside our reasonable control. Nothing in these Terms excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, fraud, or the mandatory rights of consumers.

13. Governing law and disputes

These Terms are governed by the laws of the Republic of Lithuania. If you are a consumer in the European Union you also benefit from the mandatory provisions of the law of the country where you live, and you may bring proceedings in the courts of that country.

If you have a complaint, please contact us first — most issues are resolved quickly. Consumers in Lithuania may also refer a dispute to the State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba); consumers elsewhere in the EU may use the alternative dispute resolution body in their own country.
